Terms of Trade
These Terms of Trade apply to all services supplied by The Orangery Room Limited unless otherwise agreed in writing.
1. Definitions
“Company” means The Orangery Room Limited.
“Client” means the person or organisation engaging the Company.
“Services” means the design, manufacture, supply and installation of garden rooms, orangeries, modular buildings, pool houses, home gyms and related construction services.
“Contract” means any agreement for the provision of Services.
2. Quotations and Acceptance
All quotations are valid for 30 days unless stated otherwise and are based on information provided at the time of quotation. A binding Contract is formed when the Company confirms acceptance in writing or commences the Services.
3. Scope of Works
Services will be provided in accordance with the agreed specification and drawings, where applicable. The Company is not responsible for defects arising from existing structures, underground services, or concealed conditions not reasonably identifiable prior to commencement.
4. Variations
Any changes to the agreed scope of works requested by the Client or required due to unforeseen conditions shall be treated as variations and may result in additional charges and revised completion times.
5. Client Responsibilities
The Client shall ensure safe and unrestricted access to the site, provide accurate information regarding boundaries, utilities and existing structures, and obtain any required permissions, consents or approvals unless otherwise agreed in writing.
6. Planning and Building Regulations
Unless expressly stated, the Company does not guarantee that installations fall within permitted development rights. Responsibility for planning permission or lawful development certificates rests with the Client unless specifically included within the Contract.
7. Payment Terms
All prices are exclusive of VAT unless stated otherwise. Payment terms shall be stated on the invoice. Late payments may incur statutory interest and recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
8. Cancellations and Delays
If the Client cancels or postpones works after scheduling, the Company reserves the right to recover reasonable costs incurred including labour, materials, design, and administration. Delays caused by site access issues, adverse weather, or third parties may extend completion times.
9. Warranties and Defects
The Company warrants that Services will be carried out with reasonable skill and care. This warranty does not cover defects caused by misuse, lack of maintenance, third-party alterations, environmental conditions, or normal wear and tear. Manufacturer warranties apply to supplied components where applicable.
10. Liability
The Company’s total liability shall not exceed the value of the Contract under which the claim arises. The Company shall not be liable for indirect or consequential losses including loss of profits, loss of enjoyment, or business interruption.
11. Force Majeure
The Company shall not be liable for delays or failure to perform due to circumstances beyond its reasonable control, including extreme weather, supply chain disruption, labour shortages, or regulatory restrictions.
12. Termination
Either party may terminate the Contract if the other commits a material breach and fails to remedy that breach within a reasonable period after written notice. Payment remains due for Services performed up to termination.
13. Confidentiality
Both parties agree to keep confidential any commercially sensitive or technical information disclosed during the course of the Contract, except where disclosure is required by law.
14. Assignment and Subcontracting
The Company may subcontract parts of the Services where appropriate. The Client may not assign the Contract without the Company’s written consent.
15. Governing Law
All Contracts and these Terms of Trade are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
